AFFILIATE TERMS AND CONDITIONS

This Affiliate Terms and Conditions Agreement (the “Agreement”) is entered into by you (hereinafter referred to as the “Affiliate” and/or “Webmaster”) and Off The Boucne, LLC., a U.S corporation, doing business as “ClickMeMedia.com.” (hereinafter referred to as “ClickMeMedia.com”).

By clicking the ‘create account’ button, the affiliate is entering into this legal agreement with ClickMeMedia.com and affirmatively stating that same has read, understands and accepts the agreement and as such agrees to be bound by the terms and conditions set forth herein. Affiliate cannot become a member of the ClickMeMedia.com Affiliate Program unless accepting each and every term and condition herein.

1) Only one account is allowed per company or individual.

2) The affiliate must be the owner of the website or the individual vested with the authority to enter into contracts on behalf of the entity that owns the rights to the affiliate website.

3) Affiliates from the following countries MAY signup for an account, but will be placed on a 30 days hold or until a solid business relationship has been established. If you can provide references of a good business relationship with other adult affiliate programs this hold period will be waived. Please Contact Us for more information.

4) All payments are made in U.S. dollars (“USD”).

5) ClickMeMedia.com Affiliate Program

Pay Structure:

$30.00 Pay Per Signup: ClickMeMedia.com shall pay the affiliate $30.00 per signup, generated through any of our tours whether the consumer purchases a trial or monthly or multi month membership.

6) Webmaster Referral Program

We agree to pay you 10% of the total revenue of the webmaster you refer. Webmasters family members and employees are not eligible as referrals and any attempt to refer ineligible individuals to the program will result in immediate account termination.

7) A signup is defined as a signup from a valid referral that does not result in a refund or reversal in the first 24 hours of membership and is not in violation of the terms of this agreement.

8) Affiliate acknowledges and agrees that they shall not be entitled to a commission or referral fee for any and all referrals, which are in breach/violation of the terms of this agreement. Affiliate also acknowledges and agrees they shall not be entitled to a commission or referral fee from ClickMeMedia.com for any subscription, which ClickMeMedia.com in its sole and unfettered discretion determines, is the result of possible fraudulent activity. In addition, family members and employees of the affiliate are not eligible as sign ups and any attempt to refer ineligible individuals to the program will result in immediate account termination.

9) When you have generated a sign up(s), you will be paid bi-monthly by check or Epassporte from [Off The Bounce, LLC] when your balance reaches $100 or more. Your check is sent to you within 25 days from the end of each pay period for the previous period's transactions. Payment for sales made from the 1st through the 15th of the month will be paid on the 10th of the following month. Payment for sales made from the 16th through the end of month will be paid on the 25th of the following month.
Due to increasing levels of fraud all monies due will be held for 30 days on new accounts.

10) The affiliate shall be solely responsible for the operation, development and general maintenance of their website.

11) Affiliate acknowledges and agrees that its website(s) shall be in full compliance with Section 2257 of Title 18, United States Code, the “Records Keeping and Labeling Act” containing all information as required by Section 2257 of Title 18. Affiliate further acknowledges that it has a legal obligation to comply with disclosure provisions of the Records Keeping and Labeling Act and shall identify a custodian of records and address for each and every image appearing on the affiliate’s website and/or comply with all amendments of Section 2257 of Title 18. The affiliate warrants that all content on its website shall be compliant with Section 2257 of Title 18 and all models were at least eighteen (18) years of age when content was created.

12) The affiliate shall not use ClickMeMedia.com’s images or videos for promotion of any other site.

13) ClickMeMedia.com abides by a ZERO TOLERANCE policy relating to any illegal content. Child Pornography, bestiality, rape, torture, snuff, death and/or any other type of obscene and/or illegal material shall not be tolerated by ClickMeMedia.com. Should an affiliate send hits or cause hits to be sent from any site which contains Child Pornography, bestiality, rape, torture, snuff, death of any other type of obscene and/or illegal material, status as Webmaster will be revoked without notice and account cancelled and all monies due to the affiliate will be forfeited as partial damages for violation(s) of the terms and services of the Agreement. Furthermore, should an affiliate website contain any child pornography, bestiality, rape, torture, snuff, death and/or any other type of obscene and/or illegal material of any kind, ClickMeMedia.com shall revoke the webmaster’s status without notice and terminate the account and all monies due to the affiliate will be forfeited as partial damages for violation(s) of the terms and services of the Agreement.

14) No spamming email, newsgroups, ICQ, Instant Messengers or Search Engine Adult Groups, all referrals must come from web site URLs only. Failure to comply to this request will result in the immediate cancellation of the account from which the hits were sent and also may result in the forfeiture of any funds owed to that account.

15) We are not responsible if you link to our program incorrectly.

16) If you sign up to a pay site using your own linking code, or ask friends, family etc, to do so, we will consider your account to be fraud and you will not be paid at all.

17) You are required to enter a Federal Tax ID or Social Security number on the registration form. ClickMeMedia.com will issue a Form 1099 for all U.S. domestic entities to which ClickMeMedia.com makes combined yearly payments of $600.00 or more.

18) ClickMeMedia.com is also granting Webmasters a limited, non-exclusive, non-transferable license, during the term of this Agreement, to use graphics, including banners, and other intellectual properties (collectively the "Content") owned or licensed by Off The Bounce, LLC. for the sole purpose of marketing, advertising and promoting ClickMeMedia.com site(s). Webmasters may not copy, transfer, alter or modify any banner, page or any Content, in any way, without the prior written permission of ClickMeMedia.com.

19) The license herein granted shall automatically and immediately cease upon the termination of this Agreement.

20) The Webmaster warrants and represents that he/she owns or operates a lawful and otherwise valid Internet web site. The Webmaster further represents that he/she has the requisite power and authority to enter into this Agreement and perform the obligations set forth herein.

21) The Webmaster also warrants and represents that he/she is at least eighteen (18) years of age and that performance under this Agreement does not and will not constitute a breach of any existing contract or obligation undertaken by him/her; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude him/her from entering into this Agreement. The Webmaster agrees to indemnify ClickMeMedia.com and its shareholders, officers, directors, employees and agents against any loss, damage or liability (including reasonable legal fees) which result from his/her acts or omissions or from the use of any Content or other ClickMeMedia.com materials not expressly authorized by this Agreement.

22) ClickMeMedia.com will not be held responsible for loss due to downtimes resulting from complications with your hosting equipment or technical errors.

23) We reserve the right to cancel this program at any time, without prior notification. In such cases you will be notified immediately and paid for ALL accumulated funds up to that point in time.

24) We reserve the right to deny any prospective webmaster from joining our program for any reason, based on the content of their web site or for any other reason we deem just.

25) Affiliate accounts terminated by ClickMeMedia due to a violation of the terms and conditions set forth herein, cannot re-apply to the ClickMeMedia Affiliate Program without the written consent of ClickMeMedia. Subject to the restriction, the present Agreement will be binding on and enforceable against parties and their respective successors and assigns. Failure by ClickMeMedia to enforce strict performance of any provision in the Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
